These Terms of Service (“Terms”) govern your access to and use of the website located at wordsmithsystems.com (the “Site”) and any services, tools, or content made available through the Site, operated by WordSmith Systems LLC (“WordSmith,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms.

1. Eligibility

You must be at least eighteen (18) years of age and have the legal authority to enter into contracts to use the Site. By using the Site, you represent that you meet these requirements.

2. Services Described on the Site

The Site describes WordSmith’s managed digital infrastructure services, including the WordSmith Launchpad platform. Information on the Site is for general informational purposes. Engagement for actual services is subject to a separate Master Services Agreement, Data Processing Addendum, and applicable Statements of Work.

3. Operations Grader Tool

The Operations Grader available at wordsmithsystems.com/grade (“Grader”) is a free assessment tool that provides a general evaluation of a business’s operational infrastructure. The Grader output is informational only and does not constitute professional advice. Results are generated based on publicly available information and inputs you provide. WordSmith makes no warranty regarding the accuracy or completeness of Grader results.

4. Intellectual Property

All content on the Site — including text, graphics, logos, code, platform screenshots, and the WordSmith Launchpad system design — is owned by or licensed to WordSmith and protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or publicly display any content from the Site without our prior written consent.

The name “WordSmith Systems,” the WordSmith logo, and “WordSmith Launchpad” are proprietary marks of WordSmith Systems LLC.

5. User Conduct

You agree not to:

Use the Site for any unlawful purpose or in violation of these Terms
Attempt to probe, scan, or test the vulnerability of the Site or its infrastructure
Transmit malicious code, spam, or unsolicited communications through the Site
Scrape or harvest any content or data from the Site using automated means without consent
Misrepresent your identity or affiliation with any person or entity

6. Disclaimer of Warranties

The Site and all content are provided “as is” and “as available” without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. WordSmith does not warrant that the Site will be uninterrupted, error-free, or free of viruses.

7. Limitation of Liability

To the fullest extent permitted by law, WordSmith shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site. WordSmith’s total liability arising out of these Terms shall not exceed one hundred dollars ($100).

8. Privacy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Changes to Terms

We reserve the right to update these Terms at any time. We will post the revised Terms on the Site with a new effective date. Your continued use of the Site after the effective date of changes constitutes acceptance of the revised Terms.

10. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be resolved in the courts of Tulare County, California.
